By accessing and using QuantumDiscovery.io services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

QuantumDiscovery.io provides quantum materials discovery research and commercial services, including:

• Materials Discovery: Computational discovery of novel quantum materials (e.g., Mae)
• Licensing Opportunities: Exclusive and non-exclusive licensing of discovered materials
• Research Partnerships: University collaborations and experimental validation partnerships
• Industry Collaborations: Materials screening for specific industry applications
• Research Sponsorship: Discovery Sponsor program with publication recognition

Our materials discovery research is based on rigorous computational methodologies:

• Density Functional Theory (DFT) with spin-orbit coupling (SOC)
• Quantum ESPRESSO computational framework
• Proprietary structural optimization and screening techniques
• Peer-reviewed publication standards (targeting Nature Materials)
• Full reproducibility of discovered materials properties

Important: Proprietary computational methodology remains trade secret while discovered materials are available for licensing.

As a user of our services, you agree to:

• Provide accurate and complete information for licensing and partnership inquiries
• Maintain confidentiality of proprietary materials composition details shared under NDA
• Use licensed materials responsibly and in accordance with licensing agreements
• Respect intellectual property rights of QuantumDiscovery.io (proprietary methodology and discovered materials)
• Comply with all applicable laws, regulations, and patent requirements

For licensing and partnership services:

• Materials Licensing: $50,000-$500,000 USD per material (exclusive or non-exclusive)
• Government Contracts: $100,000-$500,000 USD per project for materials screening
• Discovery Sponsorship: $2,500+ USD for Nature Materials acknowledgment and future discovery alerts
• Research Partnerships: Custom pricing based on collaboration scope and IP arrangements
• Payment terms specified in individual licensing or partnership agreements
• All payments processed securely through encrypted payment systems

QuantumDiscovery.io retains all rights to:

• Proprietary Methodology: Computational discovery techniques, screening algorithms, and optimization workflows
• Discovered Materials: Patent rights and composition details for materials like Mae
• Research Data: DFT+SOC calculation methods, structural generation techniques
• Commercial Rights: Licensing agreements, partnership arrangements, and IP licensing strategy
• Website & Branding: All website content, logos, and branding materials

Licensing clients receive: Rights to use licensed materials for specified applications as defined in licensing agreements. Proprietary methodology is never licensed or disclosed.

We maintain strict confidentiality regarding:

• Proprietary Compositions: Material composition details (e.g., Mae composition) shared ONLY under signed NDA
• Licensing Negotiations: Partnership terms, pricing, and commercial arrangements
• Research Data: Proprietary calculation methods and discovery techniques
• Business Relationships: Client identities, project details, and licensing agreements
• Sponsor Information: Discovery Sponsor identities (unless public acknowledgment opted-in)

NDA Requirement: Proprietary composition details for materials like Mae will only be shared with legitimate licensing prospects who have signed confidentiality agreements.

QuantumDiscovery.io commits to:

• Scientific Rigor: DFT+SOC calculations with peer-reviewed methodology
• Reproducibility: All discovered materials properties fully reproducible using provided structural data
• Timeliness: Response to inquiries within 24-48 hours, licensing negotiations within agreed timeframes
• Quality: Professional-grade materials characterization and licensing documentation
• Transparency: Clear IP protection strategy (methodology proprietary, materials licensable)
• Publication Standards: Targeting Nature Materials and other high-impact journals

QuantumDiscovery.io's liability is limited to:

• The amount paid for licensing or partnership services
• Direct damages resulting from service delivery failures
• We are not liable for consequential, indirect, or punitive damages
• Licensees assume responsibility for experimental synthesis, validation, and application of licensed materials
• Computational predictions are theoretical; experimental validation is licensee responsibility

Disputes will be resolved through:

• Initial consultation and good faith negotiation
• Mediation by mutually agreed materials science or IP experts
• Binding arbitration if necessary
• Governing law: Ontario, Canada (or as specified in licensing agreements)

Either party may terminate services:

• Upon completion of licensing agreement deliverables
• With reasonable notice for ongoing partnership services
• Immediately for material breach of terms (e.g., NDA violation)
• Upon mutual agreement of both parties
• Note: Licensing rights granted remain valid per agreement terms even after service termination

These terms may be updated periodically. Continued use of services constitutes acceptance of updated terms. Material changes will be communicated with reasonable notice.
